Terms of Service

These Terms of Service ("Terms") govern your access to and use of BuyBox CRM (the "Service"), operated by Canopy Real Estate ("BuyBox," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a brokerage or other organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
• You must notify us immediately at buybox@canopytn.com if you suspect unauthorized access to your account.
• One person or brokerage may not maintain more than one free account.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Upload, transmit, or store any content that is defamatory, obscene, fraudulent, or infringes on the rights of others
• Attempt to gain unauthorized access to other users' accounts or data
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated scripts, bots, or scrapers to access or interact with the Service
• Interfere with or disrupt the integrity or performance of the Service
• Resell, sublicense, or redistribute access to the Service without our written consent

4. Your Data

• Ownership: You retain all rights to the data you enter into BuyBox CRM, including agent information, contacts, transactions, and documents.
• License: You grant us a limited license to host, process, and display your data solely to provide and improve the Service.
• Responsibility: You are responsible for the accuracy and legality of data you upload. Do not enter data you do not have the right to use.
• Backups: While we take reasonable measures to protect your data, you are encouraged to maintain your own backups. We are not liable for data loss beyond what is described in our Service Level commitments.

5. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

6. Billing and Payments

• Free tier: Brokerages with up to 3 active agents may use the Service at no cost.
• Paid plans: For brokerages with more than 3 active agents, billing is $10 per agent per month. Charges are processed through Stripe.
• Pro-ration: Adding agents mid-cycle is pro-rated. Removing agents adjusts billing at the next cycle.
• Payment failure: If a payment fails, we may restrict access to certain features until the balance is resolved. We will notify you before any service interruption.
• Cancellation: You may cancel your subscription at any time. Upon cancellation, your account remains accessible through the end of the current billing period.
• Refunds: Payments are non-refundable except where required by law. If you believe you were charged in error, contact us within 30 days at buybox@canopytn.com.

7. Service Availability

We strive to keep BuyBox CRM available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

8. Intellectual Property

• The Service, including its design, code, features, documentation, and branding, is owned by Canopy Real Estate and protected by applicable intellectual property laws.
• You may not copy, modify, or create derivative works based on the Service.
• "BuyBox" and the BuyBox CRM logo are trademarks of Canopy Real Estate. You may not use them without our prior written consent.

9. Third-Party Services

The Service may integrate with third-party services (such as Stripe for payments). Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the practices or availability of third-party services.

10. Termination

• By you: You may close your account at any time by contacting us at buybox@canopytn.com.
• By us: We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, or fail to pay outstanding charges. We will provide reasonable notice when possible.
• Effect: Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, after which it may be permanently deleted. You may request a data export during this period.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times.

12. Limitation of Liability

To the maximum extent permitted by law, Canopy Real Estate and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Canopy Real Estate and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Franklin County, Tennessee.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
